WI: Kutuzov dead at Austerlitz

So what would be the ramifications of Kutuzov dying during or after the general chaos of the Russian retreat from Austerlitz?

I assume most things would go as per OTL, but could have some serious ramifications during the French invasion of Russia.

Who would be appointed in his place and would he be more prone to give in to the Czar's demands and offer battle to the French?
 
Not nearly enough. Kutuzov's role was not so important, nor was he the only one to advocate for the retreat.
Really, the retreat was Barclay de Tolly's idea, and Kutuzov's ascension marked a shift towards offering battle, as happened at Borodino. However, he was important for being an ethnic Russian; the partially foreign officer corps's division from the rank and file was exacerbated by the constant retreat.

IMO no.
Napoleon fucked up it all on his own. If Alexander keeps his cool and does his " we shall fight them on the landing grounds, in the streets, and in the hills - we shall never surrender" act then Napoleon loses his army and retreats as in OTL.
